This Terms of Service agreement ("Agreement") is a legal contract between you ("User" or "You") and She Says Media, LLC ("Company," "We," "Us," or "Our"), governing Your use of the services or products provided by She Says Media, LLC through its website, applications, platforms, and other related products and services (collectively, the "Services"). By accessing or using the Services, You agree to be bound by the terms and conditions set forth in this Agreement.
Acceptance of Terms: By accessing or using the Services, You agree to comply with and be bound by this Agreement. If You do not agree with any part of this Agreement, You must not access or use the Services.
Description of Services: She Says Media, LLC provides a range of services, including media, marketing, sales, business training, affiliate marketing, and product sales. These services encompass advertising, content creation, social media management, marketing strategy development, sales consulting, business training programs, affiliate marketing initiatives, and product sales campaigns.

We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. Refunds of any products and services from third-party providers are subject to their own policies. We are not responsible for refunds for our third-party providers that sell our products, such as Stan Store, Teachable, Amazon, and the like. Any product or service acquired through these sites is subject to their terms of service and policies. You recognize that you are responsible for doing your due diligence in understanding the terms or services of any and all third-party sites.
Disclaimer of Warranties: The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. She Says Media, LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability: In no event shall She Says Media, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with Your use of the Services.
Disputes and Claims: All disputes or claims should be communicated to us through a written notice sent to info@shesaysmedia.com before initiating any legal proceedings. The details you share should encompass precise information about the claim, including the problem's specifics, the web page(s) impacted by the problem, references to any applicable legal standards, like state privacy laws, CANSPAM acts, or related regulations, and any additional details deemed pertinent by a reasonable individual for resolving the matter.
Clame Resolution Process: She Says Media is granted a period of ninety (90) days to respond to any email notice you submit. In the case of multiple email notices, each notice shall be subject to a distinct 90-day response timeline. In the event that the issue remains unresolved after the initial 90-day period, the affected party shall have thirty (30) days to request informal mediation with She Says Media. Should both parties agree to mediation, it will be held in Sioux Falls, South Dakota, and facilitated by a professional mediator selected mutually. The costs associated with mediation shall be shared equally between the parties."
Indemnification: You agree to indemnify, defend, and hold harmless She Says Media, LLC, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with Your use of the Services or Your breach of this Agreement.
Changes to Terms: She Says Media, LLC reserves the right to modify or update this Agreement at any time without prior notice. Your continued use of the Services after any such changes constitutes Your acceptance of the new terms.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of South Dakota without regard to its conflict of law principles. Any and all proceedings related to such legal actions shall be held exclusively in Sioux Falls, South Dakota.
General Provisions: You and She Says Media are recognized as independent entities under these Terms, with no implication of an employment or agency relationship between the parties. In the event that any provision within these Terms is deemed unenforceable, the remaining provisions shall remain intact, with the unenforceable provision being modified to the extent necessary for enforceability without affecting its validity in other contexts. The licenses granted to you are personal and non-transferable; thus, you are prohibited from assigning or transferring these Terms or associated licenses without our explicit written consent. Section headings serve solely for organizational purposes within these Terms and do not alter the interpretation or meaning of the provisions contained therein. Furthermore, the failure of either party to enforce any right or provision outlined within these Terms does not waive that right or provision. Lastly, these Terms, together with the Privacy Policy, constitute the entire agreement governing your use of the Service, establishing a comprehensive framework for our relationship.
